You must be at least 13 years old to use Trace. If you are under the age of majority in your jurisdiction, you may use Trace only with permission from a parent or legal guardian. You may not use Trace if you are prohibited from using the Service under applicable law.

Subject to your compliance with these Terms, Trace Labs Ltd. grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use Trace, including to download, install, and use the Trace mobile application on Apple-branded products that you own or control, as permitted by Apple’s applicable usage rules.

Trace is licensed, not sold. We reserve all rights not expressly granted in these Terms.

Trace is a personal organization app that helps users capture, organize, and act on reminders, notes, lists, voice commands, and related content.

Some features may use artificial intelligence, speech processing, notifications, location permissions, widgets, Apple Reminders integration, subscriptions, or other platform services.

Trace is a productivity tool. It is not intended for emergency use, safety-critical use, medical advice, legal advice, financial advice, or any situation where a missed, delayed, incorrect, or unavailable reminder could cause harm, loss, or damage.

Trace may offer a free experience with limited features, including limited AI features and voice commands. We may change free limits, feature availability, or eligibility at any time.

Trace may also offer paid subscriptions that unlock premium features. Subscription details, prices, billing periods, free trial terms, and renewal terms are shown before purchase in the App Store purchase flow.

Paid subscriptions are purchased through Apple’s App Store and billed to your Apple ID. Apple processes payments, renewals, cancellations, and refunds.

If a free trial is offered, your subscription begins with the trial period shown at purchase. Unless you cancel before the trial ends, Apple will automatically charge you for the selected subscription when the trial expires.

Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. You can manage or cancel your subscription in your Apple ID subscription settings.

Annual plans may be displayed in Trace as a monthly equivalent for comparison, but the App Store purchase sheet will show the actual amount billed yearly before you confirm payment.

We use RevenueCat or similar subscription infrastructure to manage subscription status and access to paid features, but Apple remains responsible for App Store billing.

You retain ownership of the content you create or provide in Trace, including reminders, notes, lists, transcripts, commands, saved places, and other information.

You grant Trace a limited license to process, store, display, transmit, and otherwise use your content only as reasonably necessary to operate, secure, maintain, debug, improve, and provide the Service and the features you choose to use.

You are responsible for the content you provide and for ensuring that you have the right to use, upload, store, or submit it.

Trace, including the app, website, software, design, branding, logos, features, workflows, interfaces, and related technology, is owned by Trace Labs Ltd. or its licensors.

These Terms do not grant you any rights to our intellectual property except for the limited right to use the Service as described in these Terms.

Trace may use AI systems to interpret commands, generate suggestions, summarize information, or assist with organizing content. AI outputs may be incomplete, inaccurate, delayed, or inappropriate for your situation.

You are responsible for reviewing AI-generated results, including reminder dates, times, locations, titles, notes, summaries, and suggested actions before relying on them.

Do not use Trace’s AI features for emergency decisions, legal decisions, medical decisions, financial decisions, or other high-risk uses.

Trace may depend on device settings, network availability, Apple services, notification permissions, location permissions, background execution, and other third-party or operating-system behavior.

We do not guarantee that reminders, notifications, widgets, Apple Reminders sync, or location-based alerts will be delivered accurately, on time, or at all.

If you connect Apple Reminders or grant related permissions, Trace may read, create, update, complete, or delete reminders as part of the features you choose to use.

Trace may rely on third-party services, platforms, or processors, including Apple, RevenueCat, OpenAI, and other infrastructure providers. Your use of those services may also be subject to their terms and policies.

We are not responsible for third-party services, outages, billing systems, policies, or decisions.

You may not use Trace to:

• violate any law or regulation;
• infringe the rights of others;
• upload, create, or transmit harmful, abusive, deceptive, unlawful, or infringing content;
• interfere with, disrupt, or overload the Service;
• reverse engineer, scrape, copy, or misuse the Service;
• bypass subscription limits, free-tier limits, or technical restrictions;
• use Trace to build a competing product except as permitted by law.

Your use of Trace is also governed by our Privacy Policy. The Privacy Policy explains what data may be collected, processed, stored, or shared when you use Trace, including AI, speech, subscription, reminder, device, and integration features.

We do not use your private reminders, notes, lists, transcripts, or voice recordings to train AI models unless we clearly tell you and obtain any consent required by law.

If Trace offers account creation, you may initiate deletion of your account through the app. You may also contact us at support@remindmetrace.com for help with account deletion.

Deleting the app from your device does not automatically delete your account, subscription, or data stored by Trace. App Store subscriptions must be managed through your Apple ID subscription settings.

If you download Trace from Apple’s App Store, these Terms are between you and Trace Labs Ltd., not Apple. Trace Labs Ltd., not Apple, is responsible for Trace and its content, maintenance, support, warranties, and claims related to Trace, except as otherwise required by applicable law.

Apple has no obligation to provide maintenance or support for Trace. If Trace fails to conform to any applicable warranty that cannot be disclaimed, you may notify Apple, and Apple may refund the purchase price, if any, in accordance with Apple’s policies. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to Trace.

Trace Labs Ltd., not Apple, is responsible for addressing claims relating to Trace or your use of Trace, including product liability claims, legal or regulatory claims, consumer protection claims, privacy claims, and intellectual property infringement claims.

You agree to comply with applicable third-party terms when using Trace, including Apple’s App Store and Apple Media Services terms, wireless data service terms, and any terms that apply to third-party integrations you use.

You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you where applicable.

We may update, modify, suspend, limit, or discontinue any part of Trace at any time, including free features, paid features, AI features, integrations, and availability.

We may also release beta, experimental, or preview features. Those features may be unstable, incomplete, or removed without notice.

We may update these Terms from time to time. If we make material changes, we will provide notice where reasonable, such as through the app, website, or email. Your continued use of Trace after the updated Terms become effective means you accept the updated Terms.

You may stop using Trace at any time. You may delete the app from your device or cancel any subscription through your Apple ID settings.

We may suspend or terminate your access to Trace if you violate these Terms, misuse the Service, create risk for Trace or other users, or where required by law.

Trace is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, and non-infringement.

We do not warrant that Trace will be uninterrupted, secure, error-free, accurate, or suitable for your specific needs.

To the fullest extent permitted by law, Trace Labs Ltd. and its directors, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost opportunities, business interruption, or personal injury arising from or related to your use of Trace.

To the fullest extent permitted by law, our total liability for any claim relating to Trace or these Terms will not exceed the greater of the amount you paid for Trace in the 12 months before the claim or USD $100.

To the fullest extent permitted by law, you agree to indemnify and hold harmless Trace Labs Ltd. and its directors, officers, employees, contractors, affiliates, and service providers from any claims, damages, liabilities, costs, and expenses arising from your misuse of Trace, violation of these Terms, violation of law, or infringement of another person’s rights.

These Terms are governed by the laws of the British Virgin Islands, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of the British Virgin Islands, except where applicable consumer protection laws require otherwise.
